This English text is provided for convenience; in case of discrepancy the Japanese version prevails.

These Terms set out the conditions of use of the software “Kataribe: Audiobook.AI” (the “Software”) provided by RAY Co., Ltd. (“we”, “us” or “our”). By installing or using the Software, you are deemed to have agreed to these Terms.

1. Definitions

  • Free edition: the Software used without registering a license key.
  • Pro edition: the Software used with a license key issued by us registered.
  • License key: a string issued by us to each purchaser (KTRB-XXXX-XXXX-XXXX-XXXX).
  • Output: scripts, audio, images, videos and any other deliverables created by the user with the Software.
  • External services: services such as ElevenLabs, Google Gemini, OpenAI, Anthropic and HeyGen that the user accesses from the Software with the user’s own account and API keys.

2. Grant of License

  1. Subject to the conditions of these Terms, we grant the user a non-exclusive license to use the Software. Copyright and all other rights in the Software are reserved by us.
  2. Free edition: may be used by individuals for non-commercial purposes only. The Free edition places a “Powered by Kataribe” watermark and a closing credit on the finished video, and is subject to scale limits (3 minutes per chapter, 3 chapters per project, and 5 completed chapters per month).
  3. Pro edition: may be used by the purchaser personally, including for commercial use. The watermark and closing credit can be removed, there are no scale limits, and multi-actor is available.

3. Definition of Commercial Use

Any use of Output that falls under one of the following is deemed “commercial use” and requires the Pro edition.

  • Posting to a platform on which monetization is enabled, such as advertising revenue, tips or memberships
  • Paid distribution, sale or delivery (including e-books, audiobooks and subscriptions)
  • Use in the course of the business of a corporation or organization (including advertising, sales promotion, teaching materials and internal use)
  • Production commissioned by, or carried out for remuneration from, a third party

Non-monetized personal posting and distribution, sharing among family and friends, and use for learning purposes may be carried out with the Free edition.

4. Scope of License

  1. A Pro edition license key may be used on up to 3 PCs owned and managed by the purchaser personally.
  2. License keys must not be transferred, lent or disclosed to third parties. If a key is found to have been leaked, we may invalidate that key.
  3. Use by multiple persons within a corporation requires one license per user.

5. Prohibited Acts

  • Redistribution of the Software (passing the setup exe or zip that we distribute to others unmodified is permitted; distribution of modified versions is not)
  • Circumventing or altering the license key verification or the watermark and closing credit mechanisms
  • Reverse engineering, decompiling or analyzing the Software (except to the extent permitted by law)
  • Using the Software to create Output that infringes the rights of third parties or that violates laws, regulations or public order and morals

6. External Services and Costs

  1. The Software calls external services using the API keys registered by the user. Fees for external services are borne by the user for both the Free and Pro editions.
  2. The conditions of use of external services (whether Output may be used commercially, credit requirements, plan restrictions, etc.) are governed by the terms of each service. Even with the Pro edition, the conditions of the external services must be satisfied separately (for example, commercial use of ElevenLabs audio requires a paid plan with that company).
  3. We accept no liability if functions of the Software become unavailable due to specification changes, discontinuation or price revisions of external services.

7. Rights in Output

  1. Rights in Output belong to the user to the extent permitted by the terms of the external services. We claim no rights in Output.
  2. The user must either own the copyright in the manuscript (novel) or have obtained permission from the rights holder. Making narrated videos of third-party works without permission falls outside these Terms and is the user’s own responsibility.

8. Handling of Data

  1. Manuscripts, scripts, audio, images and videos are stored only on the user’s PC. They are not sent to our servers.
  2. Text and instructions required for generation are sent to the external services registered by the user.
  3. Finished videos made with the Pro edition carry identifying information (a license ID) in their metadata indicating which license they were made with. We use this for no purpose other than checking for unauthorized use of licenses.

9. Disclaimer

  1. The Software is provided “as is”. We do not warrant that the Software will meet the user’s purposes, that it will be free of errors, or the quality of Output.
  2. For damages arising from the use of, or inability to use, the Software (including fees for external services), our liability is limited to the purchase price of the Pro edition.

10. Purchase, Refunds and Updates

  1. The Pro edition is a one-time purchase. It is currently sold in Japan only, through our website (4,800 JPY including tax); the license key is sent by e-mail after payment is confirmed. Availability in other countries will be announced on our website.
  2. No refunds are given after the license key has been sent, except where the Software cannot be used due to a serious defect.
  3. Updates within the V1 series (1.x) are free of charge. The handling of the next major version (2.0 and later) will be announced at that time.

11. Changes to These Terms

We may change these Terms. The revised Terms take effect from the time they are published in the Software or on our website.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, and the Tokyo District Court shall be the exclusive agreed court of first instance for any dispute relating to these Terms.
